SmartParse Terms of Service

These Terms of Service ("Terms") govern your access to and use of SmartParse, a document parsing service provided by Safal Consulting ("SmartParse," "we," "us," or "our"). By creating an account, starting a trial, or otherwise using SmartParse (the "Service"), you agree to these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

1. The Service

SmartParse extracts, summarizes, and structures data from documents you upload, using a combination of document-structure extraction and AI-based analysis (via Anthropic's Claude API). Available modes include Extract Data, Summarize, Q&A, and Full Pipeline, as described in the product.

2. Accounts and Eligibility

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for maintaining the security of your account and for all activity under it.
• The Service is not directed at, and may not be used by, individuals under the age of 18.
• Each organization's plan defines usage limits (parses per month, token usage, team member count) as shown in your account dashboard.

3. AI-Generated Results — Important Accuracy Disclaimer

This section is central to how you should use the Service. Please read it carefully.

SmartParse uses AI (Docling for document structure extraction, and Anthropic's Claude API for field extraction, summarization, and analysis) to process your documents. AI-generated output is not guaranteed to be accurate, complete, or error-free.

• Extracted fields, summaries, entities, and structured data may contain mistakes, omissions, or misinterpretations, particularly for low-quality scans, unusual formats, or ambiguous content.
• The Service displays a confidence score for extracted fields and may flag low-confidence results for your review, but a high confidence score does not guarantee correctness, and a low confidence flag does not capture every possible error.
• You are solely responsible for reviewing and verifying any AI-generated output before relying on it, especially for documents used in regulated, financial, legal, or compliance contexts (e.g., invoices, contracts, KYC documents, financial statements).
• SmartParse is a tool to assist your workflow, not a substitute for professional judgment, legal review, or compliance verification. Do not rely on SmartParse's output as the sole basis for financial, legal, medical, or other consequential decisions.

4. Acceptable Use

You agree not to:

• Upload documents you do not have the legal right to process
• Use the Service to process content that is illegal, infringing, or violates a third party's rights
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or its infrastructure
• Use the Service to build a competing product using our output
• Circumvent plan limits, rate limits, or usage restrictions through automated means
• Upload files that exceed the Service's stated size limit (currently 4.5MB per file)

We reserve the right to suspend or terminate accounts that violate this section.

5. Plans, Trials, and Billing

• New organizations receive a free trial with limited parses, tokens, and duration, as shown in your dashboard.
• Paid plans (Starter, Business, Enterprise) provide higher usage limits at the pricing communicated to you at signup or upgrade.
• Upgrades are currently handled manually — contact us at smartparse.app@gmail.com to upgrade your plan. Billing terms will be confirmed directly with you at that time.
• We reserve the right to change plan pricing and limits with reasonable notice to active customers.
• Fees, once paid, are non-refundable except as required by law or as we may agree in writing.

6. Data and Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary: your documents are processed in memory and not persisted to disk; extracted results may be retained in your parsing history; and we do not use your uploaded content to train any AI model.

7. Intellectual Property

• SmartParse retains all rights, title, and interest in the Service, including its software, design, and underlying technology.
• You retain all rights to the documents you upload and the data extracted from them. We do not claim ownership over your content.
• You grant us a limited license to process your uploaded documents solely to provide the Service to you.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate (see Section 3).

9. Limitation of Liability

To the maximum extent permitted by law:

• SmartParse, Safal Consulting, and our officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Service.
• Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim, or, if you are on a free trial, one hundred US dollars (US $100).
• This limitation applies in particular to any decision, loss, or harm arising from reliance on AI-generated output (extracted fields, summaries, or analysis) produced by the Service. As stated in Section 3, you are responsible for independently verifying such output before relying on it.
• Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., liability for gross negligence, willful misconduct, or fraud, where such limitation is not permitted).

10. Indemnification

You agree to indemnify and hold harmless SmartParse and Safal Consulting from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, or from documents you upload that infringe a third party's rights or violate applicable law.

11. Termination

• You may stop using the Service or request account/organization deletion at any time via smartparse.app@gmail.com.
• We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if required by law.
• Upon termination, your right to use the Service ends, though provisions that by their nature should survive (e.g., Sections 3, 8, 9, 10) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify active users via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Palakkad, Kerala, India.
